Your use of this service, purchasing products, or browsing the Website are at Your own risk. Elite and its Website shall not be held liable for any improper or incorrect use of the information described or contained herein and assume no responsibility for anyone's use of the information. In no event shall Elite or its employees be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of goods or substitute goods or services or product returns or Vendor's return policies and procedures, loss of use, data, or profits, or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this Website or its links. V. Registered Retailers and Approved Vendors All accounts of registered retailers and approved vendors of the Website shall receive a login and an initial password. You are entirely responsible for maintaining the confidentiality of Your account. Furthermore, You are entirely responsible for any and all activities, which occur under Your account whether authorized or not authorized. Retailer and Vendor agrees to notify Elite of any unauthorized use of Your account or any other breach of security known or should be known. Retailer's right to use this service is exclusive to that account. VI. Modifications and Interruption to Service Elite reserves the right to modify or discontinue the service with or without notice to the Retailer. Elite shall not be liable to Retailer or any third party should Elite exercise its right to modify or discontinue the service. Both Retailer and Vendor acknowledge and accept that Elite does not guarantee continuous, uninterrupted service to the Website, and operation of the Website may be interfered with or adversely affected by numerous factors or circumstances outside of Elite's control. VII. Disclaimer Regarding Accuracy of Vendor Information Vendors supply the product information on the Website to Elite. Elite makes all reasonable efforts to ensure that the information provided is correct and up to date. However, Elite can make no representations or warranties as to the accuracy or reliability of the Website information. Any product information or other information displayed on the Website is subject to change without notice. VIII. Vendor's Ordering Terms and Return Policies and Procedures As a Retailer purchasing from this Website, You agree to each Vendor's ordering terms and return policies and procedures, which are posted on this Website. Both Elite and each Vendors reserves the right to deny any order from a Retailer that does not qualify or conform to a Vendor's ordering terms, and Elite and its Vendors will not be liable for any denied order. Elite is a representative for the Vendors, and You will receive separate credit card charges from each Vendor purchase and any credit card charge disputes are directed towards each Vendor, where You made the purchase. Further, each Vendor has their own return policies and procedures, and You agree to follow their stated return policies and procedures, which may include a RMA number, restocking fees, or other listed policies. IX. Governing Jurisdiction The Website is operated and provided in the state of Massachusetts. As such, Elite is subject to the laws of the state of Massachusetts, and such laws will govern this Terms of Use, without giving effect to any choice of law rules. Elite makes no representation that the Website or other services are appropriate, legal, or available for use in other US locations or countries. V. Registered Retailers and Approved Vendors

All accounts of registered retailers and approved vendors of the Website shall receive a login and an initial password. You are entirely responsible for maintaining the confidentiality of Your account. Furthermore, You are entirely responsible for any and all activities, which occur under Your account whether authorized or not authorized. Retailer and Vendor agrees to notify Elite of any unauthorized use of Your account or any other breach of security known or should be known. Retailer's right to use this service is exclusive to that account.

VI. Modifications and Interruption to Service

Elite reserves the right to modify or discontinue the service with or without notice to the Retailer. Elite shall not be liable to Retailer or any third party should Elite exercise its right to modify or discontinue the service. Both Retailer and Vendor acknowledge and accept that Elite does not guarantee continuous, uninterrupted service to the Website, and operation of the Website may be interfered with or adversely affected by numerous factors or circumstances outside of Elite's control.

VII. Disclaimer Regarding Accuracy of Vendor Information

Vendors supply the product information on the Website to Elite. Elite makes all reasonable efforts to ensure that the information provided is correct and up to date. However, Elite can make no representations or warranties as to the accuracy or reliability of the Website information. VIII. Vendor's Ordering Terms and Return Policies and Procedures

As a Retailer purchasing from this Website, You agree to each Vendor's ordering terms and return policies and procedures, which are posted on this Website. Both Elite and each Vendors reserves the right to deny any order from a Retailer that does not qualify or conform to a Vendor's ordering terms, and Elite and its Vendors will not be liable for any denied order.
